General Terms and Conditions (GTC) of Eglantin Digital Agency

1. Scope

These General Terms and Conditions (hereinafter "GTC") apply to all contracts concluded between Eglantin Digital Agency, Nelkenstr. 10, 65396 Walluf, Germany (hereinafter "Agency"), and its clients. Deviating or supplementary conditions of the client shall not apply unless expressly agreed in writing.

2. Services Provided

The Agency provides digital services, in particular web design, web development, consulting, and related services. The scope of services is determined by the individual contract or offer.

3. Offers and Conclusion of Contract

Our offers are non-binding. A contract is only concluded when confirmed by the Agency in writing (e.g., e-mail) or when services are actually rendered.

4. Prices and Payment Terms

All prices are stated in euros and are subject to VAT where applicable. Payments are due within 14 days of invoicing unless otherwise agreed. The Agency reserves the right to demand advance payment for certain projects.

5. Client's Duties

The client shall provide all necessary information, documents, and access required for the execution of the project in a timely manner. Delays caused by the client may lead to adjusted timelines.

6. Intellectual Property

The Agency retains ownership of all rights until full payment is received. Upon full payment, the client receives the agreed rights of use for the delivered work. Unless otherwise agreed, rights of use are non-exclusive and limited to the purpose defined in the contract.

7. Liability

The Agency is liable for damages only in cases of intent or gross negligence. In cases of slight negligence, liability is limited to foreseeable damages typical for this type of contract. Liability for consequential damages, lost profits, or indirect damages is excluded.

8. Warranty

The Agency warrants that its services are rendered with reasonable care and skill. Defects must be reported immediately. The Agency reserves the right to remedy defects within a reasonable period.

9. Termination

Contracts may be terminated in writing. In case of termination before completion of the project, the client shall compensate the Agency for work performed up to that point.

10. Governing Law and Jurisdiction

These GTC are subject to the laws of the Federal Republic of Germany. Place of jurisdiction is Wiesbaden, Germany, provided the client is a merchant within the meaning of the German Commercial Code.
